Introduction

Since 1974, Mr. Mitchell has been active across a large spectrum of businesses and industries providing professional services in valuation, mergers, acquisitions, and divestitures; management consulting; and in litigation support to the legal and insurance industries.

Mr. Mitchell initially formed EDM Management Consultants Ltd. in 1974, followed by E.D. Mitchell Inc. in 1979, the first exclusive business brokerage in Southwestern Ontario (Mr. Mitchell has been licensed under the Real Estate and Business Brokers Act since 1977). On March 1, 1994 he merged the practices in both companies with the practice of Mr. Jeffery Jenner, C.A., C.B.V. to create Mitchell, Jenner and Associates Inc. (“MJA”)

In addition to the professional services indicated above, MJA also obtained a limited market securities licence and was active in both seed capital and sophisticated investor financings for ten years from 1994 through 2004, when the Company decided to focus more on valuation-related as opposed to business-funding activities.

No longer active in MJA, Mr. Mitchell usually takes on assignments of interest in Corporate Finance on a referral basis.

During his career, Mr. Mitchell has completed more than four hundred business valuations, acted for purchasers or vendors in the sale of assets or shares in over three hundred transactions, completed over one hundred and fifty assignments in generating business plans and arranging financing for businesses, provided litigation support in more than seventy-five court actions and numerous claims support to major insurance companies. In terms of management consulting, he has completed assignments in every functional area of business; specializing in overall general management, marketing and planning.

Mr. Mitchell has been accepted as an expert witness in business valuation appearing before the Superior Court of Justice of Ontario.

  • Valuations of numerous Tier Two and Three automotive suppliers to facilitate sales, mergers, and the determination of net family assets under the Family Law Act;
  • Valuation of a manufacturer of specialized welding torches to provide the basis for an investor buy-in of shares;
  • Valuation of a tool and die maker, supplying the “hot runner” injection molding industry, as a basis for determining common share values as part of a share distribution among key employees;
  • Valuation of machinery and equipment assets of a tool and die manufacturer for bank financing purposes;
  • Valuation of a waste retrieval, processing and distributing company for financial restructuring and estate purposes.

  • Equity financing for a companies specializing in the design and manufacture of spectroscopic equipment (with NASA as a customer) and sonar equipment for medical applications.

  • Valuation of a major insurance brokerage and financial services corporation with several subsidiaries (for division of marital property under the Family Law Act and tried in the Superior Court of Justice).
  • Valuation of a financial services corporation with branch offices in Ontario and Quebec for submission to the Toronto Stock Exchange relative to purchase of that corporation by a publicly traded financial corporation. (Pre-approval of the valuator by the TSE was required).
  • Valuation of incentive plan assets (options and restricted share units) granted by a world leader in bioenergy and the agricultural processing value chain ($44.0 billion plus in sales and listed on the New York Stock Exchange) for division of marital property under the Family Law Act.
  • Valuation of a Chartered Accountancy practice along with investments of the principal in twenty plus corporations in varying industries (for division of marital property under the Family Law Act).
  • Valuation of a major medical software company providing support to major insurers; support in obtaining requisite financing; sales presentation support to major insurers; support in presentations and negotiations with a major corporation in New York interested in acquiring either the company or rights to the software.
  • Litigation support in a partnership dispute in a general insurance brokerage.
  • Claims support to major insurers to support and quantify damages due to fire, embezzlement and accidental death.
